These Terms and Conditions set out the commercial and operational rules for Naitive Accounting subscriptions, trials, page credits, top-ups, referrals, coupons, and related bank statement conversion and bookkeeping services. They apply together with the Terms of Use and Privacy Policy.
1. Plans and pricing
Published packages may include Free, Basic (paid), and Enterprise (price on application / enquiry). Monthly and yearly billing intervals may be offered; yearly Basic pricing may include a published discount relative to twelve monthly payments. Applicable fees, billing cycles, inclusions, and credit allotments are those shown at purchase, in System configuration as published to customers, or agreed in writing. Taxes may apply where required. Free or custom plans may be issued by a platform administrator.
2. Licence to use
Subject to these terms and a valid trial or paid licence, we grant you a non-exclusive, non-transferable right to use the Service for your internal business bookkeeping and statement processing needs, including converting supported bank statement files, categorising transactions, managing a company workspace and team, and exporting results in supported formats.
3. Page credits
Conversions consume page credits. One credit is used for each successfully converted page (PDF pages are counted from the file; CSV/TXT uploads generally consume one credit). Failed conversions are not charged. Credits are held in a company-level wallet shared by team members. Superadministrator use of the platform for operations is not subject to customer credit debiting.
Default Basic allotments are derived from published pricing (for example monthly Basic price divided by a configured rand-per-credit rate). Monthly Basic grants the allotment on successful payment and refreshes to that allotment on the first day of each calendar month while the licence remains active. Yearly Basic receives the same monthly allotment for the current calendar month on purchase, then again on the first of each subsequent month during the paid year. Unused monthly credits do not roll over and expire at month-end. Mid-month top-up packs (where enabled) add credits for the current month only and expire with that month. Trial and Free plans may receive configurable credit allotments (including zero for Free). Enterprise may be configured as unlimited conversions or a numeric allotment.
If remaining credits are insufficient for an uploaded file’s page count, the conversion is blocked for the whole file (no partial conversion). Platform administrators may adjust credit settings; customer-facing allotments follow the configuration in force at the time of grant or refresh.
4. Payment and invoices
Paid subscriptions and eligible top-ups may be processed through our configured payment provider (currently Yoco). You authorise us and the provider to charge the agreed amounts. Fulfilment of paid Basic access and credit grants occurs after confirmed successful payment (for example via verified payment webhook), not merely upon return from the payment page. Failed payments may result in suspension of access until resolved. Paid invoices for billed services are available in your account where applicable.
5. Coupons
We may issue coupon codes (typically prefixed NAITIVE-) that discount eligible Basic checkout amounts. Coupons may include an expiry date, discount percentage, maximum redemptions, and optional assignment to a specific company workspace. Global coupons may be redeemed by any eligible workspace; assigned coupons only by the designated company. Coupons do not apply to Free selection, Enterprise POA selection, or credit top-ups unless we expressly state otherwise. Invalid, expired, exhausted, or inapplicable codes will be rejected at checkout.
6. Referrals
Registered users may receive a unique referral code and share links (including via WhatsApp, copied link, or email). We track share method, clicks, signup attribution, and package activation for programme integrity. When a referred workspace activates paid Basic or selects Enterprise (and not merely Free), the referrer’s company wallet may receive a configured number of promotional page credits (default twenty, subject to change). Rewards are granted once per eligible referral. Self-referral and fraudulent referral activity are prohibited and may result in forfeiture of rewards and account action. Referral credits follow the same monthly expiry rules as other credits unless we state otherwise.
7. Team and workspace liability
The customer (company or individual account holder) is responsible for payment obligations, credit consumption by team members, and lawful use of uploaded documents. Company administrators should manage team access and billing details accurately.
8. Cancellation and expiry
Trials end on the stated expiry date. Paid access continues while your subscription remains active and in good standing. After expiry or cancellation, access to company workspaces and stored conversions may be limited or revoked. Unused credits expire according to the credit rules above and are not refundable for cash except where required by law.
9. Changes to plans and features
We may update package pricing, credit formulas, referral rewards, coupon programmes, and product features. Material changes to paid subscription pricing will apply from the next purchase or renewal period unless otherwise required by law or agreed in writing.
10. Limitation of liability
The Service is provided on an “as available” basis. To the fullest extent permitted by South African law, we are not liable for indirect, incidental, or consequential losses, including lost profits, data inaccuracies after conversion, or downstream accounting errors, arising from use of the Service. Our total liability for any claim is limited to fees you paid for the Service in the three months before the claim.
11. Governing law
These Terms and Conditions are governed by the laws of the Republic of South Africa. Disputes are subject to the jurisdiction of South African courts.
